Terms of Service

These terms govern use of Cloud Pro Expense (the "Service"), provided by Cloud Pro Advisor ("we", "us"). By creating an organisation or accepting an invite to join one, you agree to these terms on behalf of yourself and, if applicable, the organisation you represent ("Customer").
The Service
Cloud Pro Expense lets a Customer's staff photograph receipts, uses an AI model to extract structured expense data from them, routes submissions through a review and approval workflow, and — once approved by an authorised reviewer — posts the resulting transaction into the Customer's own connected QuickBooks Online company.
AI-extracted data is a starting point, not a final record
Data extracted from receipt images by the AI model may contain errors. The Service is designed so a human reviews and corrects this data before it is submitted, and a separate reviewer approves it before it is posted to QuickBooks — Customers are responsible for that review and for the accuracy of anything ultimately posted to their own accounts.
Your account and data
The Customer owns the data it submits to the Service ("Customer Data"). We process Customer Data only to provide the Service, as described in our Privacy Policy. The Customer is responsible for the accuracy of the information it provides and for the actions taken by the Users it invites into its organisation.
Third-party services
The Service relies on third-party providers, including Anthropic (AI extraction), Intuit (QuickBooks Online), Cloudflare (storage), Resend (email), and Railway (hosting). A Customer's connection of its own QuickBooks Online company is governed by its own agreement with Intuit; we are not responsible for the availability or conduct of these third-party services.
Fees
Fees, if any, for use of the Service will be set out separately (for example in an order form or in your account settings) and are not established by these terms alone.
Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to access another organisation's data or bypass the Service's access controls; upload content you do not have the right to upload; or attempt to reverse-engineer, disrupt, or overload the Service.
Availability and disclaimers
The Service is provided "as is" and "as available". We do not guarantee that the Service, or any third-party service it depends on (including QuickBooks Online), will be uninterrupted or error-free, or that AI-extracted data will always be accurate.
Limitation of liability
To the fullest extent permitted by law, Cloud Pro Advisor will not be liable for any indirect, incidental, or consequential damages arising from use of the Service, and our total liability for any claim relating to the Service is limited to the fees paid for the Service in the 12 months before the claim arose.
Termination
A Customer may stop using the Service at any time. We may suspend or terminate access for breach of these terms. On termination, we will retain Customer Data only as described in our Privacy Policy, and will delete it on request subject to any legal retention obligations.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
Changes to these terms
We may update these terms from time to time. Material changes will be communicated to Customers directly; continued use of the Service after a change takes effect constitutes acceptance of the updated terms.
